License Grant

NAD Electronics, part of the International division of Lenbrook Industries Limited ("NAD"), furnishes NAD Software (including software embedded in NAD products and associated desktop or handheld applications) and licenses its use to you under this agreement.

NAD grants you a non-exclusive, non-transferable, non-sublicensable, royalty-free, limited license to use the NAD Software solely for operating your NAD product on devices owned or controlled by you.

You acknowledge that compliance with all applicable U.S. and international copyright laws is your sole responsibility.

Restrictions

• No modification, reverse engineering, decompiling, or disassembly.
• No transfer or disclosure to third parties without written approval.
• No use of the product except as outlined in official documentation.

Ownership and Intellectual Property

Except for the limited license granted herein, NAD and its suppliers retain all rights, title, and interest in all intellectual property embodied in the NAD Software.

Termination

This license is effective until terminated. Your rights will terminate automatically if you fail to comply with any term of this agreement.

Upon termination, you must cease all use of the NAD Software and destroy all copies in your possession.

Compliance with Copyright Laws

Unauthorized copying or distribution of content accessed through NAD products is prohibited. You agree to indemnify and hold harmless NAD and its licensors from any claims arising from failure to comply with copyright laws.

Third-Party Content and Technologies

NAD products may provide access to third-party services or technologies. NAD reserves the right to discontinue such access at any time and assumes no liability for third- party services.

GD3 Data Notice

Where applicable, use of GD3 functionality is subject to the GD3 Software License Agreement . Non-compliance will result in immediate termination of this license.

Spotify Licensing

Select NAD products incorporate Spotify software subject to third-party licenses available at developer.spotify.com .

Disclaimer of Warranties

The NAD Software is provided "AS IS" without warranty of any kind. NAD does not guarantee uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by law, NAD shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the lesser of the purchase price or US $500.

Governing Law and Severability

This agreement is governed by the laws of the Province of Ontario, Canada. If any provision is found unenforceable, the remaining provisions will remain in effect.

Acknowledgment

By using the NAD Software, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
